Agreement to these Terms
By accessing or using Ecliptic, you agree to these Terms. If you use Ecliptic on behalf of an organization, you represent that you have authority to bind that organization to these Terms and any applicable order, proposal, or service agreement.
The service
Ecliptic is a business operating platform that can provide customer workspaces, people and hiring tools, revenue and operational workflows, documents, reporting, automation, scheduling, and related capabilities. Available features depend on the customer’s active plan, configuration, and entitlements.
Accounts and access
- You must provide accurate information and keep account credentials secure.
- You may access only the company, records, modules, and actions you are authorized to use.
- You are responsible for activity performed through your account unless prohibited by law.
- You must promptly notify us if you believe an account or credential has been compromised.
Customer responsibilities
- Use Ecliptic in compliance with applicable law and your own obligations to employees, applicants, customers, partners, and other people whose information you process.
- Obtain any notices, permissions, or consents required for information you submit to Ecliptic.
- Do not use the service to upload unlawful content, infringe intellectual property, harass others, distribute malware, circumvent security, or interfere with the service.
- Review automated or AI-assisted output before relying on it for material business, employment, financial, legal, compliance, or other consequential decisions.
Orders, pricing, and payment
Commercial terms such as plan, modules, implementation fees, subscription charges, discounts, contract term, and billing cadence are established in the applicable proposal, order, or agreement accepted by the customer. Those commercial documents control if they conflict with general pricing information shown elsewhere.
Fees are due according to the accepted commercial terms. Taxes, processor rules, chargebacks, failed payments, and applicable refund obligations may also apply.
Customer data and ownership
As between Ecliptic and the customer, the customer retains rights in the business data it submits to its workspace. The customer grants Ecliptic the rights necessary to host, process, transmit, secure, back up, and otherwise handle that data to provide and support the service.
Ecliptic and its licensors retain rights in the platform, software, interfaces, workflows, documentation, branding, and other technology provided as part of the service.
AI and automated features
AI and automation features may produce incomplete, inaccurate, or unexpected results. Customers remain responsible for reviewing material outputs and for decisions made using those outputs. Ecliptic may impose approvals, limits, logging, or other controls on automated actions.
Third-party services
Ecliptic may interoperate with third-party services such as payment processors, cloud infrastructure, email providers, calendars, authentication providers, and other integrations. Third-party services are governed by their own terms and may change or become unavailable independently of Ecliptic.
Suspension and termination
We may suspend or restrict access when reasonably necessary to protect the service, users, customers, or third parties; respond to security or legal issues; address nonpayment; or investigate material violations. Customer termination rights and post-termination treatment of service and data may also be governed by the applicable commercial agreement.
Disclaimers
Except as expressly stated in a signed agreement, Ecliptic is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation or that every feature will meet every customer requirement.
Limitation of liability
To the maximum extent permitted by law, liability arising from Ecliptic is limited as set out in the applicable signed agreement. If no signed agreement states a different limit, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the service.
Changes
We may update these Terms to reflect changes in the service, law, security, or business operations. The updated date on this page identifies the current public version.
